These Terms & Conditions (the “Terms”) govern your access to and use of the Justice Ophthalmics website at www.justiceop.com (the “Site”), the products and services offered through the Site, and any communications you have with us by email, phone, or SMS text message. The Site and services are operated by Justice Ophthalmics, Inc., a Tennessee corporation operating under Justice Apex LLC (“Justice Ophthalmics,” “we,” “us,” or “our”).
By accessing the Site, placing an order, opting in to our SMS program, or otherwise using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site or services.
1. Eligibility
Our products are intended for licensed eye-care professionals, healthcare facilities, and authorized purchasers in the United States. By placing an order, you represent that you are at least 18 years old, you are an authorized representative of the purchasing entity, and you are licensed or otherwise authorized under applicable law to receive the products you order.
2. Products and Pricing
- Product descriptions, photos, and specifications are provided for general reference. Manufacturers may change packaging, labeling, or formulation without notice.
- Prices are listed in U.S. dollars and are subject to change without notice.
- We reserve the right to limit quantities, refuse or cancel orders, and correct any pricing errors at any time, including after an order has been confirmed.
- Products may be subject to availability and back-order limitations.
3. Orders, Payment, and Shipping
- Orders are subject to acceptance by Justice Ophthalmics. We may decline an order at our discretion.
- Standard payment terms are Net 30 unless otherwise agreed in writing. Past-due balances may accrue a finance charge of 1.5% per month or the maximum permitted by law, whichever is lower.
- Shipping charges, handling fees, and applicable taxes are added at checkout or invoice. Title and risk of loss pass to the buyer upon delivery to the carrier (FOB origin) unless otherwise agreed.
- Delivery times are estimates and not guaranteed. We are not liable for carrier delays.
4. Returns and Refunds
Pharmaceuticals, sterile devices, and refrigerated items are generally non-returnable due to FDA and state regulatory restrictions. Non-pharmaceutical, non-sterile items in unopened original packaging may be returned within 30 days of delivery for a refund or credit, less any applicable restocking fee. To initiate a return, contact chad@justiceop.com for a return authorization. Returns shipped without authorization may be refused.
5. SMS & Mobile Messaging Program
Justice Ophthalmics operates an SMS messaging program for two-way customer support, order intake, order and shipping confirmations, product availability replies, and low-volume internal account notifications.
5.1 Consent
You opt in by texting our published business number, by submitting your mobile number through a Site signup or contact form that displays the SMS-consent disclosure, or by providing your number directly to a Justice Ophthalmics representative during account setup. Consent to receive SMS messages is not a condition of any purchase.
5.2 Message Frequency, Rates, and Carriers
Message frequency varies depending on your account activity and order volume. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. Supported carriers and supported features may change from time to time without notice.
5.3 Help and Opt-Out
For help, reply HELP to any message, email chad@justiceop.com, or call 1-800-842-1574. To opt out at any time, reply STOP (or any of: STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT) to any message we send you. After we receive your opt-out, you will receive one final confirmation message and no further SMS from this program.
5.4 No Marketing Sale of Mobile Data
We do not share, sell, or rent mobile phone numbers or SMS content with third parties for their own marketing purposes. SMS data is shared only with our messaging carrier (Twilio) as strictly necessary to deliver your messages, consistent with our Privacy Policy.
6. Acceptable Use of the Site
You agree not to:
- Use the Site or services in violation of any applicable federal, state, or local law or regulation;
- Resell, redistribute, or transfer prescription products to any party not licensed or authorized to receive them;
- Attempt to gain unauthorized access to the Site, our systems, or any other user’s account;
- Interfere with the operation of the Site, including via denial-of-service attacks, scraping, automated data collection, or distribution of malware;
- Use the SMS program to send unsolicited or unlawful messages, harass any person, or for any purpose other than legitimate business communications with Justice Ophthalmics.
7. Intellectual Property
The Site, including all text, graphics, logos, images, and software, is owned by or licensed to Justice Ophthalmics, Inc. and its parent Justice Apex LLC, and is protected by U.S. and international intellectual-property laws. You may not copy, modify, distribute, or create derivative works of any Site content without our prior written permission, except as expressly allowed by these Terms.
8. Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT WITH US OR REQUIRED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING (TO THE MAXIMUM EXTENT PERMITTED BY LAW) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATIONAL CONTENT. PRODUCT WARRANTIES, IF ANY, ARE PROVIDED SOLELY BY THE MANUFACTURER.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL JUSTICE OPHTHALMICS, JUSTICE APEX LLC, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SITE, OR ANY PRODUCT OR SERVICE PURCHASED FROM US, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US$100).
10. Indemnification
You agree to defend, indemnify, and hold harmless Justice Ophthalmics, its parent and affiliates, and their officers, directors, employees, and agents from any claim, loss, damage, liability, or expense (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site or services, (b) your violation of these Terms, (c) your violation of any law or regulation, or (d) your infringement of any third-party right.
11. Governing Law and Venue
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Shelby County, Tennessee, and you irrevocably consent to the personal jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on this page with a revised “Last Updated” date. Your continued use of the Site or services after the update constitutes acceptance of the revised Terms.
13. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any written agreement signed between you and Justice Ophthalmics, constitute the entire agreement between us regarding your use of the Site and services.
